Carrie J. Cecil, a partner at Frost Brown Todd, focuses on public and project finance, a field she has worked in for over a decade.
She has served as bond counsel, underwriter's counsel and issuer's counsel in public and governmental financing, primarily involving tax-exempt bonds. Her practice also includes the financing and development of infrastructure and economic development projects, including tax increment financing and tax abatement structures.
In addition, she works with clients to prepare post-issuance compliance procedures for issuers and borrowers of tax-exempt bonds and assists with post-issuance contract review.
She developed a 501(c)(3) healthcare practice and serves in a variety of roles. Within her healthcare practice, Carrie trains clients on post-issuance tax and securities compliance matters and regularly advises clients on unique tax issues.
Carrie's clients rely on creative solutions to address challenges related to their financings.
"I try to bring a unique perspective to problem solving for my clients' transactions, particularly with respect to unrated transactions," she said. "I believe that several deals have incorporated structural elements that have met my client's goals through creative structures."
A large part of her practice relates to unrated special district financings in West Virginia. These financings often require close collaboration across the deal team within aggressive schedules to achieve issuers' and developers' goal to meet development targets. She has been involved in the majority of TIF districts in West Virginia.
Carrie is constantly seeking ways to use technology to make her practice more efficient and said she is fortunate to work with a team that is willing to constantly strive to improve their service to clients.
"I am able to have a sophisticated practice while living in West Virginia and being able to see the impact of projects that I have worked on in my local community," she said.
And one little known fact about Carrie is that she likes sports.
"I refereed basketball for over 10 years, including officiating a West Virginia Girls High School State Tournament and in a couple of NCAA Division II conferences," she said.
Carrie earned a law degree from the University of Pittsburgh School of Law, and a B.A. in history, geography and German from West Virginia University.
